1. Acceptance of Terms

By accessing or using the Enchor platform, websites, and associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Enchor provides parts management, component lifecycle evaluation, Bill of Materials (BOM) processing, and team collaboration software. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Subscriptions, Fees, and Overages

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring monthly schedule.

  • Plan Limits: Each plan level (Starter, Professional, Enterprise) includes allocated quantities of part lists, tracked parts, and lifecycle evaluations.
  • Overage Billing: If your organization's usage exceeds your plan allocation, you agree to pay the per-unit overage rates associated with your billing plan (e.g., $5.00/month per additional part list, $0.02/month per additional tracked part, and $0.10 per additional lifecycle evaluation).
  • Cancellations: You can cancel your subscription at any time through the billing dashboard. Cancellations will apply to the next billing cycle.
4. Customer Data & Proprietary Rights

You retain all rights, title, and interest in and to any files, lists, BOM designs, component data, or other materials you upload or input into the Service ("Customer Data"). You grant Enchor a worldwide, non-exclusive, royalty-free license to access, process, and display Customer Data solely for the purpose of providing and maintaining the Service.

5. User Responsibilities & Acceptable Use

You are responsible for securing your account credentials and passwords. You agree not to use the Service for any unlawful activities, including:

  • Uploading malware or malicious code.
  • Attempting to disrupt the integrity, security, or performance of the Service.
  • Reverse engineering or scraping the platform interface or lifecycle databases.
6. Disclaimer of Warranties & Data Accuracy

The Service and all component data, lifecycle evaluations, availability statuses, compliance metrics, and other information provided through the Service are provided on an "as is" and "as available" basis without any warranties of any kind. Enchor does not warrant that any data is accurate, complete, reliable, current, or error-free.

Any decisions, business outcomes, design adjustments, procurement activities, or other actions taken by your organization or company based on the data provided through the Service are the sole responsibility of your organization. Enchor disclaims all liability and responsibility for any outcomes or consequences resulting from your reliance on such data.

7. Limitation of Liability

To the maximum extent permitted by law, Enchor and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use or inability to use the Service.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
